1. Acceptance of Terms

By accessing or using Warm Reply ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

2. Description of Service

Warm Reply is a cold email workspace that provides tools for lead discovery, email composition, and outreach management. The Service operates on a pay-per-interested-reply pricing model.

3. Account Registration

To use the Service, you must create an account using Google OAuth. You are responsible for:

• Maintaining the security of your account credentials
• All activities that occur under your account
• Ensuring your contact information is accurate and up-to-date

4. Acceptable Use

You agree not to use the Service to:

• Send spam or unsolicited bulk email in violation of applicable laws
• Violate CAN-SPAM, GDPR, or other applicable email regulations
• Harvest email addresses without proper consent
• Impersonate any person or entity
• Engage in any illegal or fraudulent activity
• Interfere with or disrupt the Service or its infrastructure

5. Billing and Payment

Warm Reply charges $3 per interested reply as determined by our classification system. Additional charges may apply for:

• Lead discovery services (billed at cost)
• Premium features as they become available

All payments are processed through Stripe. You agree to pay all applicable fees and authorize us to charge your payment method on file.

6. Reply Classification

Our system uses AI to classify email replies as "interested" or "not interested." While we strive for accuracy, classifications are automated and you agree that billing is based on our classification system's determination at the time of processing.

7. Email Sending

Emails sent through Warm Reply are delivered via third-party email providers. We do not guarantee delivery rates or inbox placement. You are solely responsible for the content of your emails and compliance with all applicable laws.

8. Intellectual Property

You retain all rights to your email content and contact lists. Warm Reply retains all rights to the Service, including its software, design, and branding. You grant us a limited license to use your content solely to provide the Service.

9. Limitation of Liability

The Service is provided "as is" without warranties of any kind. Warm Reply shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

10. Termination

We may suspend or terminate your account at any time for violation of these terms or for any other reason at our discretion. You may terminate your account at any time through the settings page. Upon termination, your right to use the Service ceases immediately.

11. Changes to Terms

We may modify these terms at any time. We will notify you of material changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the modified terms.
